Standard Training

Nine tutorials that make up the entire training session that accompanies every Enterprise Wizard purchase. The tutorials are broken out by modules for version 7.0. Presented by Roxy Bargir-Turner, Terradon Communications Group's Trainer and Quality Assurance Manager.

Part 1 - Introduction Introduction to the Enterprise Wizards CMS, including required browser settings, logging into the administrative area, and an orientation of the latest administrative interface.
Part 2 - Architecture Module Training in the Architecture Module, which consists of the Page Management Wizard and the Content Management Wizard.
Part 3 - WYSIWYG Editor Training in the use of the WYSIWYG (What You See is What You Get) editor. This is the word processing-like interface that formats content.
Part 4 - Closing Wizards A brief tutorial on the proper method of closing a Wizard.
Part 5 - Active Content Management Training in the use of Active Content Management (ACM)...the floating menu that appears on the right of web pages when logged in as an authorized webmaster.
Part 6 - Access Module Training on the Access Module, which includes the User Management Wizard and the Groups Management Wizard. These tools allow you to create, edit, and delete both view and management permissions for web site users.
Part 7 - Assets Module Tutorial on the Assets Module, which has the sole purpose of managing electronic assets within the content management system. Electronic assets may include images, video, audio, PDF files, Excel files, etc.

These tutorials go beyond the basic training and provide innovative means to achieve desired effects.

Creating Captions Create Captions - Learn how to place captions underneath images. You can also have the text wrap around the image.
Creating Private Pages Learn how to generate private web pages that only certain web site users may view. This functionality allows your web site to become hundreds (or thousands) of web sites depending upon who is looking at it. May 1, 2009 Hydroxycut drug recall
On May 1, 2009 the FDA warned dieters and body builders Friday to immediately stop using Hydroxycut, a popular over-the-counter supplement linked to cases of serious liver damage and at least one death. The FDA has received 23 reports of liver problems, including the death of a 19-year-old boy. The company that makes the dietary supplement has agreed to recall 14 Hydroxycut products.

Reglan Warning:
On Feb. 26, 2009, FDA warned against the long-term use of drugs that contain Reglan (metoclopramide). Frequent and long-term use of metoclopramide has been linked to tardive dyskinesia, a disorder that causes uncontrollable, repetitive movements of the body such as lip smacking, grimacing, tongue protrusion, puckering and pursing of the lips, rapid eye movements or blinking, and rapid movements of the fingers, arms, legs, and trunk. These symptoms are rarely reversible and there is no known treatment.

Standard CMS Terms

This is a contract between you (an individual or a business entity) and Terradon Communications Group, LLC, hereafter TCG. It covers your use of the web site or application, and any related services, software, updates, upgrades, support, and content. We refer to all of these as the Application.

HOW TERRADON COMMUNICATIONS GROUP MAY MODIFY THIS CONTRACT
If TCG changes this contract, it will notify you at least 30 days before the changes become effective. We may notify you via email, online posting or other means. If you do not agree to the changes, you must cancel or stop using the Application before the changes become effective. Your continued use of the Application after the effective date of the changes constitutes your acceptance of and agreement to the changes.

NOTICE OF ADDITIONAL TERMS
The Application itself may contain or necessitate additional terms that further govern use of the Application, including particular features or offers (i.e. sweepstakes, online contests, e-commerce, etc.). It is your responsibility to create and display any necessary additional terms within the Application.

CHANGES TO THE APPLICATION
TCG may, in its sole discretion, provide updates and/or additional features and functionality to the Application. If it does, this agreement applies to them, unless other terms accompany those items.

YOUR DATA
Your data includes any all content, images, etc. that are placed in the Application by parties other than TCG. You are responsible for maintaining and backing-up your data that you use with the Application. Upon termination or cancellation of the Application for any reason, data that you have stored in the Application may not be available to you.

SOFTWARE
1. Use. The terms that come with any TCG software associated with the Application apply to your use of that software. Your right to use the software ends when your right to use the Application terminates or expires, or when we update the Application and it no longer supports the software, whichever comes first. You must cease using the software when your right to use it ends. TCG may disable such software after the date the Application terminates.
2. Documentation. You may copy and use any documentation provided with the software for your internal reference purposes. Documentation includes electronic books or user guides.
3. Ownership. Copyright and other intellectual property laws and treaties protect the software.
4. Scope of Use. This Application is constructed with Terradon Communications Group’s "Enterprise Wizards" Content Management System software. Your use of the Enterprise Wizards is limited to that specifically permitted in this Agreement and any applicable schedule(s) and exhibit(s). The software is licensed, not sold. This agreement only gives you some rights to use the software. If in the event you need to provide for interoperability with additional software or systems, you will first contact TCG to receive such interoperability assistance.
5. Limitations. TCG reserves all other rights. You may not:
  1. work around any technical limitations or extend the software without express written consent from TCG,
  2. reverse engineer, decompile or disassemble the software, except and only to the extent that applicable law expressly permits it, despite this limitation,
  3. copy the software, except as allowed by applicable law, despite this limitation,
  4. rent, lease or lend the software.
6. Export. The software is subject to United States export laws and regulations. These laws include restrictions on destinations, end users and end use.

YOUR ACCOUNT(s)
You are responsible for all activity under your account and passwords. You must tell TCG right away about any possible misuse of your account or any security breach related to the Application.

ESTIMATES
1. Delivery. Any delivery times quoted by TCG or its personnel are estimates only and TCG shall not be liable for any delays in delivery.
2. Current Understanding. This statement of work is based on TCG’s current knowledge of the project. Additional work requested by the client may require a revision of the cost.

PAYMENT
1. Schedule. TCG will invoice the Client on the following payment schedule:
  1. 50% upon offer acceptance (the "Initial Invoice" referenced below)
  2. 50% upon Application Administrator ("Webmaster") training
2. Invoicing. Payment is expected upon receipt or invoice. Work on the project will not begin until the Initial Invoice has been paid in full. The Application will not be moved into its "production" environment or otherwise delivered and made available to the public until all applicable invoices associated with this project are paid in full.
3. Recurring Fees. The charges for hosting the Application, if applicable, are payable in advance, unless stated otherwise. If your account is billed on a periodic basis (i.e. monthly or quarterly for hosting), then any termination will be effective at the end of your current period or at the end of the period in which you provide such notice.
4. Taxes. Prices for the Application do not include WV sales tax, if applicable. It is the responsibility of the client to provide proof of tax exemption.
5. Travel and Expenses. Any travel and per diem expenses related to the completion and support of the Application will be billed to your Account on a time and materials basis at TCG’s cost plus 15%.

PENALTIES AND DELINQUENCY
1. Late Payment. An eighteen percent (18%) finance charge will be applied to any invoice aged over 30 days. Any unpaid invoice aged over 90 days may result in the termination of all services without notification. In that event, service will not be restored until all outstanding invoices, including finance charges, are paid in full.
2. Project Management. All pricing is based on work performed according to a schedule of staff availability. Requests that must be fulfilled in advance of this schedule may be assessed an additional Project Management fee. Project delays by the client may result in a $250.00 per month Project Management fee for each month after the original estimated delivery date until the project is completed according to the scope of work.
3. Collection. You agree to pay all costs incurred in the enforcement of this Agreement and in collection of any delinquent amounts due, including reasonable attorneys' fees and other legal fees and costs. TCG reserves the right to refer your Billing Account to a third party for collection in the event of default.

PRICES AND PRICE INCREASES
TCG may, with reasonable notice, change the pricing of the Application, from time to time. If there is a specific duration and price for your Service offer, then that price will remain in effect for such duration, but continued use of the Application thereafter will be at the new price. If your Service is on a period basis (for example, monthly), with no specified duration, then any change in pricing will be effective on the date indicated by TCG. If you do not agree to such change, then you must cancel and stop using the Application prior to the effective date of such change. Your continued use of the Application after the effective date of such change constitutes your acceptance of and agreement to such change.

REFUND POLICIES.
All charges are non-refundable unless expressly stated otherwise, or otherwise provided by applicable law. The costs of any returns if permitted will be at your expense, unless otherwise provided by applicable law.

ADDITIONAL FEES
1. Existing Fees and Obligations. The price of this agreement does not include any domain transfer or Website hosting fees that the existing host or provider may invoice to the Client.
2. Third Party Fees. Prices for the Application exclude charges associated with third parties, including, but not limited to, telecommunication charges, credit card processing fees, etc. Unless expressly stated otherwise, payment of these fees are your responsibility.
3. Internet Access. The Application does not include Internet access. You are responsible for paying the fees charged by your Internet access provider. These fees are in addition to the fees you pay us for the Application.

SUSPENSION OR TERMINATION.
1. At will. TCG may terminate or suspend your access to the Application at any time and for any reason without notice.
2. Premature Termination. If the Client terminates the project before fulfillment of the project scope, the Client will be billed for the work completed before termination of the contract. The billing will be based on percentage of the project completed compared to the project's lump sum price, or on a time and material basis, whichever is less.
3. Inactivity or Abandonment. Any milestone or required deliverable that is designated as the responsibility of the client must be delivered within one (1) year of its assigned delivery date. Failure on the part of the client to provide required deliverables in a timely manner will be considered "Premature Termination" as noted above and will result in the termination of the contract and any monies paid to TCG will not be refunded.
4. Your Termination of Service. You may terminate the Application at any time. As soon as you cancel the Application, your right to use it stops right away. Note: You may not have access to data that you stored on the Application after you terminate the Application. You are responsible for backing-up your data that you use with the Application. Termination of the Application by you will not alter your obligations to pay all charges made to your Account. Certain Services may include cancellation charges. You are obligated to pay those cancellation charges as specified in the materials about the Applications.

NO HARMFUL OR UNLAWFUL USE
You may not use the Application in any way that is against the law or could harm the Application, its users, TCG or our affiliates. Some examples of harmful or unlawful activity that we do not permit include:
1. using the Application or its host server(s) to try to gain unauthorized access to any service, data, account or network,
2. uploading, posting, emailing or otherwise making available any material that contains software viruses or any other computer codes, files or programs designed to interrupt, destroy or limit the use of any software or device, and
3. uploading, posting, emailing or otherwise making available any content that
  1. incites, advocates, or expresses pornography, obscenity, vulgarity, profanity, hatred, bigotry, racism, or gratuitous violence,
  2. is intended to threaten, stalk, defame, defraud, degrade, victimize, or intimidate an individual or group of individuals for any reason, including on the basis of age, gender, disability, ethnicity, sexual orientation, race, or religion, or to incite or encourage any one else to do so, or
  3. is illegal or violates any laws, including child pornography, illegal drugs, copyright, intellectual property not belonging to you, defamation, libel and the privacy rights of any third party.
You further agree to comply with all applicable laws and regulations, including without limitation laws relating to privacy and data protection, and United States export laws and regulations.

ANTI-SPAM POLICY
You will not use the Application to transmit, either directly or indirectly, any unsolicited bulk e-mail or unsolicited commercial e-mail. You will not use the Application in any way that violates the CAN-Spam Act. TCG may use filtering technologies or other measures in its efforts to stop unsolicited bulk e-mail and unsolicited commercial e-mail. If your use of the Application includes e-mail related services, then this filtering technology or other measures may block, either temporarily or permanently, some e-mail sent to you through the Applications even if such e-mail does not violate the Anti-Spam Policy.

MONITORING YOUR USE
To the extent permitted by law, we may monitor your use of the Application and remove or disclose your information or content to:
1. ensure your compliance with this agreement,
2. satisfy any legal requirements or process, or
3. protect our rights and identity or the rights and identity of others.

STATEMENT OF WARRANTY
1. Support. Unless explicitly stated otherwise, TCG will provide the Client with one (1) month of free technical consultation pertaining to deliverables outlined within this agreement. This one (1) month period begins immediately after Application Administrator training. Hourly rates will apply after the one (1) month period and to items outside the scope of this proposal.
2. Limited Warranty. TCG will correct any programmatic errors and/or omissions free of charge for a one (1) year period. This one (1) year period begins immediately after Application Administrator training. After the conclusion of the one (1) year warranty period, and programmatic errors or omissions will be addressed under a separate agreement on a time & materials basis.
3. No Additional Warranty. TCG makes no additional warranties, express or implied, and specifically disclaims any implied additional warranties of merchantability or fitness for a particular purpose.

LIMITATION OF LIABILITY
To the extent permitted by law, you cannot recover any damages from the TCG Parties, including direct, consequential, lost profits, special, indirect or incidental damages. This limitation applies to any matter related to the Application. If you have any dispute or claim with or against the TCG Parties regarding the Application and this agreement, your only remedy is to stop using the Application.

LIMITED TIME TO BRING CLAIM
TCG and you agree that any cause of action arising out of or related to the Application must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

INDEMNITY
You agree to defend, indemnify and hold the TCG Parties harmless from and against any and all claims, losses, liability costs and expenses (including attorneys' fees) arising from your violation of this contract or any third-party's rights. These obligations survive the termination of this contract or your use of the Application.

CHOICE OF LAW
If this contract is with Terradon Communications Group, LLC, West Virginia state law governs the interpretation of this agreement and applies to claims for breach of it, regardless of conflict of laws principles. If this contract is with a TCG affiliate, the laws of the place of incorporation for that TCG affiliate govern the interpretation of this agreement and apply to claims for breach of it, regardless of conflict of laws principles. All other claims will be adjudicated under the laws of your state of residence in the United States, or, if you reside outside the United States, under the laws of the country to which the Application is directed.

LOCATION FOR RESOLVING DISPUTES
If this contract is with Terradon Communications Group, LLC, you hereby irrevocably consent to the exclusive jurisdiction and venue of state or federal courts in Putnam County, West Virginia, USA in all disputes arising out of or relating to the use of the Application. If this contract is with a TCG affiliate, you hereby consent to the exclusive jurisdiction and venue of the courts located in the place of incorporation for such TCG affiliate in all disputes arising out of or relating to the use of the Application.

CONTRACT INTERPRETATION
If any section of this agreement is held to be unenforceable, it should be replaced by an enforceable section that matches the intent of the original section as closely as possible. The rest of the contract will continue in full force and effect. Except as expressly stated herein, this agreement is the entire agreement between Terradon Communications Group, LLC and you with respect to the Application. It supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Terradon Communications Group, LLC with respect to the Application.

INHERITANCE
The covenants and conditions contained in this agreement shall apply to and bind the parties, heirs, legal representations and assignees of the parties.

SCOPE OF WORK
1. Coverage. This agreement accounts for all administrative, design, development, programming, testing, configuration and deployment of the necessary technologies/services consistent with the completion of the deliverables accepted from this Agreement.
2. Hosting. Upon completion of the Application, TCG grants to the Client a single license to the content management system to be hosted within a TCG data center or the Client hosting environment. The Application cannot be hosted in/by a third party (or your) facility without the express written permission of TCG or unless covered by a separate agreement.
3. Compatibility. The administrative functions of the Content Management System software are optimized for the Windows operating system and Internet Explorer version 5.5 or higher. No guarantee of administrative functionality pertains to other operating systems or browsers. Certain additional software may be necessary from the operating system or browser vendor to support the administrative functions of the Application.
4. Content Placement. Unless otherwise explicitly stated in this document, TCG is not responsible for creating, migrating, or placing content within the Web site.
5. Additional Work. If desired, TCG is prepared to perform revisions to the Application. Costs for such services currently range from $65.00 to $150.00 per hour, depending upon the nature of work and unless such work is covered by a separate agreement.

PROMOTIONAL USE
TCG reserves the right to use the Application, or any portion thereof, for promotional or demonstration purposes, unless such action may divulge or disclose proprietary or sensitive information, or unless the Client explicitly prohibits such action via written notification to TCG.

DEFINITION OF TERMS
1. Year. Unless otherwise provided in this agreement, the word "year" shall be construed to mean a calendar year of 365 days.
2. Month. Unless otherwise provided in this agreement, the word "month" shall be construed to mean 30 calendar days.
3. Written. Unless otherwise provided in this agreement, the word "written" shall be construed to mean any expressed non-verbal communication in the form of written or typed letter or e-mail.
4. Service. Unless otherwise provided in this agreement, the word "Service" shall be construed to mean ongoing hosting and/or maintenance fees to support the Application.
